Sonos 27MCP Addendum

This Sonos 27mcp Addendum (“Addendum”) is an agreement between You and Sonos, Inc. (together with its Affiliates, “Sonos,” “we,” “us,” or “our”). It supplements and is incorporated by reference into the Sonos Terms of Use, License and Warranty Agreement (“Agreement”) that otherwise governs Your use of Sonos Products and Services. This Addendum applies wherever You use Sonos 27mcp, regardless of Your country of residence; Section 12 below identifies the limited number of provisions that differ depending on whether You are located in the European Union/European Economic Area, the United Kingdom, Switzerland (together, “Europe”) or elsewhere.

Please read this Addendum together with the Agreement and the Sonos Privacy Statement. If You do not agree to this Addendum, do not authorize a Third Party AI Assistant (defined below) to connect to Your Sonos Account through MCP.

Capitalized terms not defined in this Addendum have the meaning given in the Agreement.

1. WHAT MCP IS

Sonos 27mcp (“MCP”) is a hosted service that allows a Third Party AI Assistant of Your choosing (for example, Claude or ChatGPT) to discover and control Your Sonos System, once You have authorized that Third Party AI Assistant to connect to Your Sonos Account. You interact with the Third Party AI Assistant — through its own app, device, or interface — and the Third Party AI Assistant, in turn, calls a defined, limited set of functions (“Tools”) that Sonos makes available.

MCP works in the opposite way to the third party integrations described elsewhere in the Agreement (such as music services or voice partners). Those integrations involve Sonos giving You access to third party content or services through the Sonos Product. MCP instead involves a Third Party AI Assistant that You have chosen reaching into Your Sonos System from outside it, using an authorization You have granted.

Sonos does not choose, control, or have visibility into what You say or type to the Third Party AI Assistant. Sonos only receives the resulting instruction the Third Party AI Assistant decides to send (for example, a request to raise the volume in a named room).

2. DEFINITIONS

"Third Party AI Assistant": a third party AI product or service (such as Claude or ChatGPT) that connects to Sonos 27mcp on Your behalf, at Your direction.

"Third Party AI Assistant Provider": the company or organization that operates a Third Party AI Assistant (for example, Anthropic or OpenAI).

"Household": the Sonos System and associated Sonos Account(s) and Login Credentials through which You access Your Sonos Products and Services.

"Login Credentials": has the meaning given in the Agreement.

"Tool": a discrete function that Sonos exposes through MCP for a Third Party AI Assistant to call, such as adjusting volume, controlling playback, or managing groups and favorites.

"Tool-Call Data": the data associated with a specific instruction executed through MCP, including the Household, group and player identifiers involved, the room name(s) You have configured, the Tool called, and related playback or configuration metadata.

3. AUTHORIZING AND MANAGING AI ASSISTANT ACCESS

3.1 Authorizing access. By authorizing a Third Party AI Assistant, You represent that You are at least 18 years old (or the age of legal majority in Your jurisdiction, if higher).

3.2 How authorization works. Authorization takes place through the Third Party AI Assistant's own application or interface, using an industry-standard authorization protocol (OAuth). This means that You authorize the Third Party AI Assistant to connect to your Sonos account. Sonos does not require a separate account, developer registration, or commercial relationship with the Third Party AI Assistant Provider for this authorization to work.

3.3 Multiple households and multiple assistants. You may authorize more than one Third Party AI Assistant to connect to Your Household, and (subject to the Third Party AI Assistant Provider's own terms) a Third Party AI Assistant may be used across more than one Household if authorized separately for each.

3.4 Revoking access. You may revoke a Third Party AI Assistant's access to Your Sonos Account at any time by disconnecting the Sonos integration from within the Third Party AI Assistant's own account or connections settings.

3.5 Your responsibility for authorized use. Because You are choosing to give a Third Party AI Assistant the ability to interpret Your instructions and decide what actions to take on Your Sonos System, Sonos is not responsible for actions taken by a Third Party AI Assistant within the scope of access You have granted, except as required by applicable law. This includes actions that do not match what You intended, to the extent they result from how the AI Assistant interpreted Your request rather than from a defect in MCP itself. Sonos is also not responsible for any unauthorized access to, or actions taken on, Your Sonos System that result from a compromise, breach or vulnerability occurring within the Third Party AI Assistant’s systems or infrastructure.

4. SCOPE OF ACCESS

4.1 What MCP allows. MCP allows an authorized Third Party AI Assistant to call a defined set of Tools covering functions such as playback control, volume, grouping, favorites and playlists, and home theatre settings.

4.2 What MCP does not allow. MCP does not expose, and a Third Party AI Assistant cannot use MCP to perform device administration, retrieval of Your Login Credentials or other account credentials, changes to account-level settings, grants of access to other users or services, or firmware updates. These functions are intentionally excluded from MCP's design and are not made available to any Third Party AI Assistant, regardless of the permissions You have granted.

4.3 Changes to available Tools. Sonos may add, remove, or modify the Tools available through MCP from time to time. Tools, including their names, descriptions, and parameters, are dynamic and may be updated by Sonos at any time. You or the Third Party AI Assistant used by You must not seek to rely on a cached, hardcoded or previously retrieved set of Tool names, descriptions or parameters. A change to the availability of a Tool, a Tool's name, description, or parameters does not, by itself, constitute a material reduction in service for the purposes of Section 13, provided that the underlying functionality available to You is not materially reduced.

5. DATA AND PRIVACY

5.1 What Sonos processes. Sonos processes Tool-Call Data in order to carry out the instructions a Third Party AI Assistant sends through MCP. Sonos does not receive, process, or store the content of Your conversation or request to the Third Party AI Assistant — only the resulting instruction.

5.2 Retention and further detail. Full detail on what data is collected in connection with MCP, how long it is retained, and the legal basis for processing it, is set out in the section of the Sonos Privacy Statement titled “Provide Sonos MCP (Third Party AI Assistant Access) Services,” which forms part of this Addendum by reference.

5.3 No advertising use. Sonos does not use Tool-Call Data for advertising, and does not use it to build advertising or marketing profiles.

5.4 The Third Party AI Assistant's own processing. Separately from Sonos's processing of Tool-Call Data, the Third Party AI Assistant Provider processes whatever You say or type to the Third Party AI Assistant under its own privacy notice and terms, as part of Your own account and relationship with that provider. Sonos is not a party to that processing and does not control it. We encourage You to review the Third Party AI Assistant Provider's privacy notice and terms before authorizing it to connect to Your Sonos Account.

6. AVAILABILITY; EARLY ACCESS STATUS

6.1 Current status. As of the date of this Addendum, MCP is offered as an Early Access Feature. While MCP is offered on this basis, it is an Early Access Feature as described in the Agreement, and the Sonos Early Access Terms apply to MCP's functionality, availability, warranty status, and limitation of liability, controlling over this Addendum with respect to those topics. This Addendum otherwise continues to apply in full.

6.2 No guarantee of continued availability. Sonos does not guarantee that MCP, or any specific Tool, will continue to be available, will be free of interruption, or will operate identically across all Third Party AI Assistants, Sonos Products, or Sonos Accounts.

6.3 Language availability. MCP is initially available in English only. Sonos may expand MCP to additional languages in the future, but does not commit or warrant that it will do so, and the timing and scope of any such expansion remains in Sonos' sole discretion.

7. ACCEPTABLE USE

In addition to the acceptable use requirements in the Agreement, You agree not to, and not to authorize or permit any Third Party AI Assistant to:

  • attempt to access, or attempt to cause a Third Party AI Assistant to access, any function excluded under Section 4.2;
  • build, configure, or operate a Third Party AI Assistant, or any integration with MCP, in a manner that bypasses MCP's Tool-discovery mechanism, including by causing Tools to be called using hardcoded, cached, or otherwise not currently retrieved Tool names, identifiers, or parameters instead of Tool definitions retrieved from MCP at the time of use;
  • use MCP to gain unauthorized access to any Sonos System, Sonos Account, or Household other than Your own;
  • interfere with, disrupt, or place unreasonable load on MCP, whether through automated means or otherwise; or
  • use MCP in a manner that violates the Agreement, applicable law, or the terms of the Third Party AI Assistant Provider.

Sonos may immediately suspend or terminate a Third Party AI Assistant's access to Your Sonos Account, or Your access to MCP generally, if Sonos reasonably believes this Section 7 has been violated or that continued access poses a security or operational risk.

8. THIRD PARTY AI ASSISTANTS ARE NOT SONOS

A Third Party AI Assistant is a product of its own Third Party AI Assistant Provider, not Sonos. Sonos does not develop, train, control, or warrant the accuracy, reliability, or behavior of any Third Party AI Assistant's underlying artificial intelligence. Your relationship with the Third Party AI Assistant Provider - including any account, subscription, or usage terms with that provider - is between You and that Third Party AI Assistant Provider, and is not part of this Addendum or the Agreement. Sonos is not responsible or liable for any loss, damage, unauthorized access, data breach, service interruption, or other harm arising from or attributable to the Third Party AI Assistant Provider's systems, infrastructure, security practices, or conduct, including any compromise of authorization tokens occurring within the Third Party AI Assistant Provider's environment, nor is Sonos responsible or liable for any restrictions on Your use of the Third Party AI Assistant, such as daily token limits, that may be implemented by the Third Party AI Assistant Provider.

9. DISCLAIMERS

MCP IS PROVIDED ON THE SAME BASIS AS THE PRODUCT AND SERVICES UNDER THE AGREEMENT, INCLUDING WITHOUT LIMITATION THE SECTION TITLED WARRANTY AND DISCLAIMER OF THE AGREEMENT, WHICH APPLIES TO MCP IN FULL. WITHOUT LIMITING THAT SECTION AND SUBJECT TO ANY MANDATORY CONSUMER PROTECTION LAWS TO THE CONTRARY, SONOS DOES NOT WARRANT THAT A THIRD PARTY AI ASSISTANT WILL CORRECTLY INTERPRET YOUR INSTRUCTIONS, THAT ANY TOOL WILL BE CALLED OR EXECUTED AS INTENDED, OR THAT MCP WILL BE COMPATIBLE WITH ANY PARTICULAR THIRD PARTY AI ASSISTANT AT ANY GIVEN TIME. IF YOU ARE A CONSUMER, NOTHING IN THIS SECTION AFFECTS YOUR STATUTORY RIGHTS, INCLUDING ANY MANDATORY RIGHTS UNDER APPLICABLE CONSUMER PROTECTION LAW.

10. LIMITATION OF LIABILITY

Section 11 (Limitation of Liability) and Section 12 (Infringement Indemnity) of the Agreement apply to MCP in full, including the carve-outs in Section 11 for willful misconduct, gross negligence, loss of life or personal injury, and statutory consumer rights. Nothing in this Addendum expands Sonos's liability beyond what is set out in the Agreement.

11. RELATIONSHIP TO OTHER DOCUMENTS

Order of precedence. This Addendum supplements the Agreement. If there is a direct conflict between this Addendum and the Agreement concerning MCP specifically, this Addendum takes precedence, except that the Sonos Early Access Terms takes precedence over both with respect to the topics described in Section 6.1 above for as long as MCP is offered on an Early Access basis.

12. JURISDICTION-SPECIFIC PROVISIONS

The following provisions apply only if You are located in the jurisdiction indicated. Because MCP is currently offered in English only worldwide, this Addendum does not include separate language-availability or localization commitments for Europe beyond what is stated in Section 6.3 above.

12.1 United States

  • AI transparency and chatbot-disclosure laws. The Third Party AI Assistant You authorize is an AI product operated by its own provider, not by Sonos. A rapidly growing number of US states — including but not limited to California, Colorado, Utah, Oregon, Nebraska, Washington, Connecticut, Idaho, and others — have enacted or are considering laws regulating conversational AI systems and placing obligations on the providers of such systems. Sonos' position is that, if applicable, these obligations rest with the Third Party AI Assistant Provider as the provider of the AI system, because the Third Party AI Assistant is not a Sonos-operated or Sonos-deployed system.
  • Dispute resolution. Dispute Resolution section of the Agreement, including its arbitration, class-action-waiver, and batch-arbitration provisions, applies to disputes arising out of or relating to MCP and this Addendum to the same extent it applies to the Agreement generally.

12.2 European Union / EEA, United Kingdom, and Switzerland

  • AI Act transparency. Sonos does not act as a provider of the Third Party AI Assistant within the meaning of Regulation (EU) 2024/1696 (the “AI Act”). To the extent that Article 50(1) of the AI Act applies to a Third Party AI Assistant, the Third Party AI Assistant bears sole responsibility for ensuring that You are informed, no later than at the time of your first interaction with it, that You are interacting with an AI system.
  • Consumer protection and governing law. Section Governing Law and Forum of the Agreement applies to disputes arising out of or relating to MCP and this Addendum, including the protections it describes for consumers habitually resident in the EU, UK, Switzerland, Norway, Iceland, or Liechtenstein.
  • No separate language commitment. As stated in Section 6.3 above, MCP is offered in English only at this time, worldwide, including in Europe. This is consistent with, and does not derogate from, applicable consumer-information requirements, which Sonos will revisit if and when MCP is localized into additional languages.

13. CHANGES TO THIS ADDENDUM

Sonos may update this Addendum from time to time, including to reflect changes to MCP, applicable law, or the Early Access status described in Section 6.1. If Sonos makes a material change, meaning changes that reduce your rights, add new obligations, or significantly alter MCP, Sonos will provide at least 30 days' notice. If you do not accept those changes, you may terminate this Addendum without penalty.
